Forming an LLC or corporation

The filing takes an afternoon. The documents behind it decide who owns what when something goes wrong.

We start with a 45-minute call about who’s involved, how money comes in, and what you’d want if a co-founder walked away. Then we recommend an entity, file it, and write the company agreement or bylaws around the answers you gave us.

Most formations are done in two to three weeks, depending on how fast the owners sign.

What we handle

  • Choosing between an LLC, an S corporation election and a C corporation

  • Company agreements for two to five owners

  • Founder stock, vesting and IP assignment

  • Converting a sole proprietorship you already run

Formation questions

Can’t I just file online myself?

You can, and for a solo business with no investors it may be enough. The filing isn’t the hard part; the agreement between owners is.

Do you give tax advice on the election?

We explain how each choice works legally and coordinate with your accountant, who should confirm the tax side.

What if we add an owner later?

We amend the agreement and issue the interest under the counsel plan, or as a separate flat-fee matter.

Starting a company this quarter?

Tell us who the owners are and what the business does. We’ll send a fixed quote and a start date.

The first call is free and doesn’t make us your lawyers; an engagement letter does.
