Fees

Flat fees for every kind of matter

Every matter here is a flat fee. The quote follows the size of the matter against the scope below, and it always comes in writing before any work begins.

  • Formation

An LLC or corporation, filed and set up so the bank, your co-founder and your accountant all get what they ask for.

    • Certificate of formation, filed for you
    • Company agreement or bylaws, written for your owners
    • Founder equity and vesting documents
    • EIN and an organizational consent
    • A one-page compliance calendar for the first year
    • State filing fee
    • Registered agent service
    Term:
    Billed once

    Filing fee billed at cost

  • Contract review

One agreement of up to 25 pages, marked up with a plain note beside every change we suggest.

    • A redline of the full agreement
    • A short memo: what to push on, what to let go
    • A 30-minute call to walk through it
    • One round of revisions after their reply
    • Negotiating directly with the other side
    Term:
    Billed per contract

    Longer agreements quoted first

  • Contract drafting

A new agreement written for your business: terms of service, a master services agreement, a consulting contract.

    • A first draft from a short intake call
    • Two rounds of revisions
    • A plain-English summary for your team
    • Negotiation with the other side
    Term:
    Billed per agreement
  • Counsel plan

    Ongoing work

A standing lawyer for the small things that pile up: the vendor contract, the lease renewal, the question at 6pm.

    • Up to four contract reviews a month
    • A 30-minute call every month, on video
    • Email questions answered by an attorney
    • Member and board consents drafted
    • Annual filings tracked and reminded
    • Lawsuits and court appearances
    • Buying or selling a business
    Term:
    Billed monthly

    Cancel with 30 days’ notice

  • Buy or sell a business

An asset sale of a business with one location, from letter of intent to closing.

    • Letter of intent, reviewed or drafted
    • Due diligence checklist and review
    • Asset purchase agreement and schedules
    • Bill of sale, assignments and closing set
    • Lease assignment with the landlord
    • Accounting, valuation and tax advice
    Term:
    Billed per deal

Larger deals quoted in writing first

Our fees cover the legal work. State filing fees, registered agent service and other third-party costs are passed through at cost and listed in your quote.

What every quote spells out

  • The scope

What we’ll do, in a list you can check off.

  • What isn’t included

Named, so nothing turns into a surprise bill.

  • Outside costs

Filing and agent fees, estimated and passed through at cost.

  • When it’s due

Half to start and half on delivery, or monthly for the plan.

Questions about paying a flat fee

Why flat fees instead of hourly?

So you can decide before you start. You know the cost of the work, and we carry the risk of it taking longer.

What happens if the scope changes?

We stop and send a short written quote for the new piece. Nothing extra is billed without your yes.

How do I pay?

By card or bank transfer through a secure link on the invoice. The counsel plan bills on the first of the month.

Is the first call charged?

No. The first video call, up to 30 minutes, is free, and it doesn’t make us your lawyers.

Want a number for your matter?

Describe it in a few lines. We’ll reply with a written quote.

The first call is free and doesn’t make us your lawyers; an engagement letter does.
