Flat-fee business law in Austin and by video

Business law, with the fee written down first

We form companies, draft and review contracts, handle small-business sales and run a monthly counsel plan for owners and founders. Every matter starts with a fixed fee in writing, and the work comes back marked up so you can see every change.

Fees

Three ways to pay, each one fixed

Pick the one that fits the work. Every quote lists what’s in it, what isn’t, and the outside costs you’d pay at cost.

  • Formation

An LLC or corporation, filed and set up so the bank, your co-founder and your accountant all get what they ask for.

    • Certificate of formation, filed for you
    • Company agreement or bylaws, written for your owners
    • Founder equity and vesting documents
    • EIN and an organizational consent
    • A one-page compliance calendar for the first year
    • State filing fee
    • Registered agent service
    Term:
    Billed once

    Filing fee billed at cost

  • Counsel plan

    Ongoing work

A standing lawyer for the small things that pile up: the vendor contract, the lease renewal, the question at 6pm.

    • Up to four contract reviews a month
    • A 30-minute call every month, on video
    • Email questions answered by an attorney
    • Member and board consents drafted
    • Annual filings tracked and reminded
    • Lawsuits and court appearances
    • Buying or selling a business
    Term:
    Billed monthly

    Cancel with 30 days’ notice

  • Contract review

One agreement of up to 25 pages, marked up with a plain note beside every change we suggest.

    • A redline of the full agreement
    • A short memo: what to push on, what to let go
    • A 30-minute call to walk through it
    • One round of revisions after their reply
    • Negotiating directly with the other side
    Term:
    Billed per contract

    Longer agreements quoted first

Our fees cover the legal work. State filing fees, registered agent service and other third-party costs are passed through at cost and listed in your quote.

Practice

Four kinds of work, priced the same way

We take business matters we can scope before we start. Disputes that head for court we refer to trial counsel we know.

  • Forming a company

LLCs and corporations, filed and documented, with the paperwork founders skip.

    Scope and fee
  • Contracts

Drafting and reviewing the agreements you sign with customers, vendors and landlords.

    Scope and fee
  • Buying or selling a business

Asset sales of small, owner-run companies, from letter of intent to closing.

    Scope and fee
  • Outside general counsel

A monthly plan for owners who need a lawyer on call but not on payroll.

Clients

Notes from owners we’ve worked with

“We sent a supplier agreement on a Monday and had it back by Thursday, every change explained in a sentence. The bill was the number on the quote.”

Anneliese K.Coffee roaster, East Austin

“Buying the bakery took four months. Devraj kept one checklist, sent it every Friday, and told us early when the lease was going to be the hard part.”

Odalys R.Bakery owner, San Marcos

“The counsel plan is the cheapest hire we made. I ask small questions now, before they turn into big ones.”

Questions

What owners ask before they hire us

What if the work takes longer than you planned?

That’s our risk, not yours. The fee covers the scope in your quote. If you ask for something outside it, we write a second quote before doing it.

Do we ever need to meet in person?

Rarely. Most clients meet us on video and sign electronically. You’re welcome at the East Austin office if you’d rather sit across a table.

Can I stop the counsel plan?

Yes, with 30 days’ notice, at any time. Work already started under the plan is finished at no extra charge.

Do you take lawsuits?

We handle demand letters and settlement agreements. If a dispute is heading for court, we refer you to trial counsel and stay on to help with the business side.

Contact

Send us the matter in a few lines

We usually reply within two business days with a written flat-fee quote, or a note saying it isn’t work we do and who might.

Please don’t send confidential details or documents here. Writing to us doesn’t make us your lawyers; an engagement letter does.
